CONSTITUTION AND BY‑LAWS

Constitution

ARTICLE I      NAME

The name of this organization shall be the FLORIDA ASSOCIATION FOR INDUSTRIAL AND TECHNICAL EDUCATORS, hereinafter referred to as FAITE.  The organization shall be incorporated under the Laws of the State of Florida.

ARTICLE II     PURPOSE

FAITE shall be a non‑profit professional organization working collectively toward the advancement and enhancement of technical and industrial career education.  FAITE will hold activities which provide professional development for its membership.

ARTICLE III    MEMBERSHIP

Membership in FAITE shall be open to all persons who are, or who have been, engaged in the field of industrial and technical education, as well as others interested in promoting the purpose of FAITE.

ARTICLE IV     ADMINISTRATION

(SECTION 1)

The activities of FAITE shall be governed by the membership functioning through the duly elected officers who comprise the FAITE Executive Board.

(SECTION 2)

The FAITE Executive Board may be comprised of a President, Vice President, Immediate Past President, Treasurer and Secretary.

ARTICLE V      FINANCE

(SECTION 1)

FAITE shall be supported by funds derived from: (1) annual membership dues; (2) fundraising activities; (3) conference/workshop/meeting registration fees; (4) educational exhibit space rentals at events; and (5) contributions from individuals and businesses.

(SECTION 2)

The indebtedness of FAITE shall not exceed the anticipated annual income.

(SECTION 3)

Should the membership at any time vote to dissolve FAITE, all indebtedness shall be paid.  Any remaining assets shall become property of the Florida Association for Career and Technical Education, Inc., hereinafter referred to as FACTE.

ARTICLE VI     AFFILIATIONS

FAITE shall be officially affiliated with FACTE and other state and national non‑profit professional associations deemed necessary for working collectively toward the advancement and enhancement of technical and industrial career education.

ARTICLE VII    PARLIAMENTARY AUTHORITY

The most recently revised Robert's Rules of Order shall be final authority for FAITE on all questions of procedure and parliamentary law not covered by the Constitution and By‑Laws set forth here.

ARTICLE VIII   AMENDING THE CONSTITUTION

The Constitution of FAITE may be amended by a majority vote of the members present at an Annual Business Meeting or a Special Business Meeting.

By-Laws

ARTICLE I      NAME

The name of this organization shall be the FLORIDA ASSOCIATION FOR INDUSTRIAL AND TECHNICAL EDUCATORS, hereinafter referred to as FAITE.

ARTICLE II     IMPLEMENTATION OF PURPOSE

(SECTION 1)

FAITE shall be a non‑profit professional organization working collectively toward the advancement and enhancement of technical and industrial career education.  FAITE will hold activities which provide professional development for its membership.

(SECTION 2)

FAITE shall accomplish its stated purpose through activities such as meetings, workshops, and communications with local, state, and national peers, career education advocates and technical and industrial education resources as deemed appropriate and necessary.

ARTICLE III    MEMBERSHIP

(SECTION 1)

The membership year shall extend from July 1 of one year through June 30 of the following year.  Membership in FAITE shall be:             

(1) Active Membership

(2) Associate Membership

(3) Honorary Life Membership

(1) To be eligible for Active Membership, applicants shall be currently engaged in instruction, supervision, coordination or administration of technical and/or industrial education.

(2) To be eligible for Associate Membership, applicants should have previously been engaged in technical and/or industrial education or interested in the purposes and activities of FAITE.

(3) Honorary Life Membership may be awarded by the Executive Board to individuals who have made outstanding contributions to technical and/or industrial education.  Recipients of such awards must have been former Active Members of FAITE.  Nominations for Honorary Life Memberships may be made by any active or associate member of FAITE.

(SECTION 2)

Active Members in good standing are entitled to participate in the activities of the association including the right to vote upon all business brought before it and to hold office.

Associate Members in good standing are entitled to participate in the activities of the association including the right to vote upon all business brought before it.

Honorary Life Members are entitled to participate in the activities of the association.

ARTICLE IV     MEMBERSHIP DUES

(SECTION 1)

FAITE membership dues shall be payable as of July 1 annually and shall become delinquent if not received by FAITE by September 30 annually.  Dues received for brand new members after April 1 shall be considered dues for the following year beginning July 1.  Members of FAITE must first be dues paid members in good standing of FACTE.

(SECTION 2)

Dues amounts and dues administration details may only be changed by approval of the membership.  Procedures for changing annual dues are as follows:

(1)  Proposed dues changes shall be processed through the Executive Board for recommendation and vote by the membership.

(2)  Proposed dues changes shall be approved by a majority vote of FAITE members voting at the Annual Business Meeting or a Special Business Meeting.

(3)  Approved dues changes shall become effective at the beginning of the following membership year.

(SECTION 3)

Active and Associate Members may be dropped from the membership when their dues are not submitted once every twelve months.

(SECTION 4)

Active or Associate Members dropped from the membership may become reinstated by the Treasurer upon payment of dues for the current membership year.

ARTICLE V      OFFICERS

(SECTION 1)

The officers of FAITE may include:

 (1)  President

 (2)  Vice President

 (3)  Immediate Past President

 (4)  Treasurer

 (5)  Secretary

ARTICLE VI     ELECTION OF OFFICERS

(SECTION 1)

Active and Associate Members in good standing of FAITE shall be eligible to serve as board members. The board will consist of up to eleven members. Board members will be elected to office at the Annual Business Meeting and will serve for a term of one year. The officers of the association shall be elected by a majority vote of FAITE board members voting at the Annual Business Meeting or a Special Business Meeting.

(SECTION 2)

In the event that an officer is unable to complete a term of office, or an officer is absent from two or more consecutive official meetings of FAITE without a legitimate cause, the FAITE Executive Board, by majority vote, may declare the office vacant.  The vacancy may then be filled by a majority vote of the remaining officers.

ARTICLE VII    DUTIES

(SECTION 1)

The responsibilities of the Board and Executive Board are to vigorously and conscientiously promote the purposes of FAITE to the best of their abilities.  To this end, the duties shall be those typically performed by the holders of such offices, as well as those specifically authorized through the Constitution and By‑Laws. Business will be conducted through committees established by the FAITE Board. 

Executive Board members shall attend all board meetings.  Absence from two consecutive meetings, without a legitimate cause, shall be grounds for removal from office.  Reimbursement to FAITE officers for travel and per diem expenses for all FAITE activities are provided as outlined in Article XII, Section 2 of these by-laws.

(SECTION 2)

The President shall:

(1)  Be the executive officer of FAITE.

(2)  Preside over all meetings of the Executive Board and the FAITE membership.

(3)  Serve as a Vice‑President of FACTE and in such capacity shall represent technical & industrial education.

 (4)  Be responsible for notifying the FAITE membership of all FAITE meetings or appointing a designee to do so.

 (5)  Appoint standing and special FAITE committees, councils and task forces.

(6)  Confer with the FAITE Executive Board on matters of importance to the organization.

(7)  Other duties as deemed appropriate and necessary.

(SECTION 3)

The Past President shall:

(1)  Attend all meetings of the FAITE Executive Board and Membership. 

(2)  Serve as chair or co-chair of the annual Standing Conference Planning Committee.

(3)  Serve as a member of any additional FAITE committees or affiliates at the discretion of the President.

(4)  Serve at the discretion of the President with additional miscellaneous duties as deemed appropriate and necessary.

(SECTION 4)

The Vice President Shall:

(1)  Attend all meetings of the FAITE Executive Board and Membership. 

(2)  Preside at all meetings and activities of FAITE in the absence of the President.

(3)  Assist the President in the discharge of duties.

(4)  Serve as the elections officer for the annual election of officers scheduled for the Annual Business Meeting at the Annual Conference with duties including advance notice to the membership of the election and coordination of the nomination and election process.

(5)  Serve as a member of any additional FAITE committees or affiliates at the discretion of the President.

(6)  Serve at the discretion of the President with additional miscellaneous duties as deemed appropriate and necessary.

(SECTION 5)

The Treasurer shall:

(1)  Maintain accurate, complete and up to date financial bookkeeping processes and records for FAITE including but not limited to the incurring of expenses and payment of bills.

(2)  Carry out specific duties detailed in Article XI - Accountability for FAITE Funds and Article XII - Authorization of Expenditures of these FAITE by-laws.

(3)  Serve as a member of any additional FAITE committees or affiliates at the discretion of the President.

(4)  Serve at the discretion of the President with additional miscellaneous duties as deemed appropriate and necessary.

(SECTION 6)

The Secretary shall:

(1)  Maintain accurate, complete and up to date membership records for all FAITE members.

(2)  Maintain historical records/archives of FAITE as deemed appropriate and necessary.

(3)  Maintain accurate records and files of all FAITE official business to include correspondence and minutes of all official FAITE meetings.

(4)  Serve as a member of any additional FAITE committees or affiliates at the discretion of the President.

(5) Serve at the discretion of the President with additional miscellaneous duties as deemed appropriate and necessary.

ARTICLE VIII     COMMITTEES

 (SECTION 1)

Temporary and Standing Committees and Task Forces may be activated to discharge duties normally requiring involvement from both FAITE officers and members, as well as any specific duties outlined by the President.

(SECTION 2)

The Standing Conference Planning Committee may be appointed annually at the discretion of the Executive Board.  This committee may be responsible for implementation of the annual conference with assistance from members of FDOE and FACTE as deemed necessary and appropriate.  This Standing Committee may be chaired by the Past President or the President Elect.

(SECTION 3)

The President, at their discretion, shall appoint additional temporary and standing committees and task forces as may be deemed necessary and appropriate to discharge FAITE business activities

(SECTION 4)

The President shall be an ex‑officio member of all standing and temporary committees and task forces.  The Treasurer and Secretary would also serve on committees and task forces as deemed necessary and appropriate.

ARTICLE IX     COUNCILS/SPECIAL INTERESTS

(SECTION 1)

Groups with issues of shared concern to FAITE are encouraged to send representation to a FAITE Executive Board meeting when collaboration might be in the best interest of the FAITE purposes. 

(SECTION 2)

Groups with issues of shared concern are also permitted to request FAITE committee or task force formation when deemed in the best interest of FAITE purposes.    

ARTICLE X    AFFILIATIONS

(SECTION 1)

The affiliations of FAITE in addition to FACTE shall include the Association for Career and Technical Education, the National Association for Trade and Industrial Education (NATIE), and Skills USA (formerly VICA).  The purpose of these affiliations is to work collectively toward the advancement and enhancement of technical and industrial career education.  The FAITE President or his/her designee may attend meetings of these affiliates as deemed appropriate and necessary and may be reimbursed by FAITE for this travel.

(SECTION 2)

FAITE shall work cooperatively with Florida Chapters of Skills USA. The FAITE Executive Board shall serve in an advisory capacity to assist the corporate Skills USA member(s) and the state Skills USA advisor(s) in formulating and implementing policy and activities in Florida.

(SECTION 3)

FAITE members shall be encouraged to serve as local section and club advisors for Skills USA.

ARTICLE XI   ACCOUNTABILITY FOR FATIE FUNDS

(SECTION 1)

The funds of FAITE, regardless of their source, shall be entrusted to the Treasurer for safe keeping, disbursement, and accountability in accordance with these by-laws.

(SECTION 2)

The Treasurer shall account for the receipt of all FAITE funds.

(SECTION 3)

All funds of FAITE shall be deposited as received by the Treasurer in account(s) in the name of FAITE in bank(s) incorporated and operating under the laws of the State of Florida.  Deposit slips are to be maintained on file by the Treasurer.

(SECTION 4)

Each expenditure of funds over $500 shall be approved by the Executive Board and made a matter of record in the minutes of the meeting at which approval was given.

(SECTION 5)

Each expenditure approved by the Executive Board and paid with a check drawn against the checking account shall be signed by two Executive Board officers.

(SECTION 6)

Each month, the Treasurer shall obtain from the appropriate bank(s), a checking account statement with supporting documentation for reconciliation by the Treasurer.

(SECTION 7)

The Treasurer shall maintain a current record of all financial transactions of FAITE and furnish such financial reports as the President, Executive Board or a majority of the FAITE members when deemed necessary and appropriate.

ARTICLE XII    AUTHORIZATION OF EXPENDITURES

(SECTION 1)

The President, without prior approval of the Executive Board, may authorize the Treasurer to expend amounts not to exceed $500 within the available resources of the association for normal operational expenses as deemed necessary and appropriate.

(SECTION 2)

Reimbursement to FAITE officers for travel and per diem expenses for attending any/all FAITE Executive Board meetings and FAITE committee or task force meetings may be authorized by the Executive Board provided it is clearly established that such travel was necessary for the discharge of FAITE business, not exceeding the per diem allowance currently in effect from the State of Florida.

ARTICLE XIII    MEETINGS

(SECTION 1)

Meetings of FAITE may include:

(1)  Annual Business Meeting & Annual Conference

(2)  Special Business Meeting

(3)  Professional Meeting

(4)  Executive Board Meeting

(SECTION 2)

The Annual Business Meeting of FAITE shall be held annually between July and November with the exact dates being selected by the Executive Board.  The primary purpose of the meeting is to transact normal FAITE business and install officers.  This meeting will be held during the Annual FACTE Conference whenever possible.

(SECTION 3)

A Special Business Meeting of FAITE may be called by the President with the approval of the Executive Board.  The primary purpose of a Special Business Meeting is to present to the membership FAITE business of such immediate importance that it can not be delayed until the Annual Business Meeting.

(SECTION 4)

A Professional Meeting of FAITE may be called by the President with the approval of the Executive Board.  The primary purpose of a Professional Meeting is to present the membership with opportunities for professional development.

(SECTION 5)

The Executive Board of FAITE shall meet at the call of the President or two Executive Board members at least once annually, i.e. during the interval between Annual Business Meetings to conduct normal FAITE business.  The Executive Board may implement a Program of Work in order to effectively carry out the purposes of FAITE as deemed necessary and appropriate.

(SECTION 6)

The President or his designee shall notify the membership at least two weeks in advance of each meeting of FAITE.  In case of a Special Business Meeting, the notice shall include the items of business to be considered.  In the case of a Professional Meeting, the notice shall include a description of the planned professional development program.

(SECTION 7)

The President and/or two members of the Executive Board may call an Executive Board Meeting at their discretion with two weeks advance notice to the officers.

ARTICLE XIV   PARLIAMENTARY AUTHORITY
